Kuwait's KPC Seals $16 Billion Oil Pipeline Deal with Global Investors

Kuwait Petroleum Corporation (KPC) has entered into a landmark $16 billion agreement to lease and lease back its crude oil pipeline network. The deal, announced Saturday, involves a consortium of prominent global investment firms: Blackstone, Brookfield, and KKR. KPC hailed the transaction as the largest foreign direct investment in the country's history.

Under the initiative, dubbed Project Peregrine, KPC's subsidiary, the Kuwait Oil Company (KOC), will establish a joint venture with the three investors. This structure will cover the pipeline network for a period of 20.5 years, incorporating a volume-based tariff. KPC emphasized that the deal signifies Kuwait's continued appeal as an investment destination, even within a challenging regional climate.

Blackstone, Brookfield, and KKR will collectively own a 49% stake in the joint venture. KPC, however, will retain a 51% stake, ensuring it maintains full ownership and operational control over the network. This network comprises 13 pipelines stretching approximately 320 kilometers and is crucial for transporting crude oil and refined products from Kuwait's oilfields to export terminals on the Arabian Gulf.

The transaction is projected to yield $7.85 billion in upfront proceeds upon closing, which KPC stated will bolster its capital expenditure plans. Financial advisors for KPC in this significant deal included Centerview Partners, HSBC, and JP Morgan.
