Paramount pauses Warner Bros. takeover amid antitrust concerns

Hollywood giant Paramount has temporarily suspended its planned acquisition of rival Warner Bros. following an antitrust lawsuit filed by twelve U.S. states. The companies will not advance the takeover until a decision is reached on the lawsuit or by June 1, 2027, at the latest, according to court documents.

Previously, a judge had initially suspended the deal until mid-August to consider the states' demand for a preliminary injunction against the merger's completion. The judge indicated she takes the competition concerns raised by states like California seriously. The states argue that the merger would distort competition in the market for popular films, thereby pressuring cinemas.

From the judge's perspective, the states have demonstrated that Paramount and Warner together would hold a significant market share in the business, justifying an initial multi-week suspension of the merger. In contrast, the U.S. government approved the multi-billion dollar deal without any conditions. The Department of Justice concluded that the merger would not harm competition or U.S. consumers in the TV, streaming, or film production sectors.

The European Commission, however, approved the acquisition but imposed certain conditions. Behind Paramount is the family of software billionaire Larry Ellison, a known supporter of President Donald Trump. Initially, Netflix had reached an agreement with Warner last year to purchase its streaming and studio operations. However, Paramount persisted, submitting a higher bid for the entire Warner Bros. Discovery company, including television channels like CNN. The current deal is valued at approximately $111 billion.
