Court rejects case to return Dhs1.02 million

The Commercial Court in Dubai has dismissed a lawsuit filed by a woman who sought to annul a share purchase agreement and recover 1.02 million dirhams ($277,000). The plaintiff, a partner in a cafe business, had demanded the return of funds paid for a 20% company share and contributions to operating expenses, along with 500,000 dirhams in compensation.

In its ruling, the court found no evidence of fraud in the sale process. Crucially, it determined that the plaintiff was fully aware of the company's financial and administrative situation prior to finalizing the deal. This understanding of the company's status was a key factor in the court's decision.

The case originated from an agreement signed in May 2025, where the plaintiff agreed to purchase 10% of shares from each of two male partners for a total of 800,000 dirhams. The memorandum of understanding also required the plaintiff to contribute to the company's operating expenses, leading to additional payments that brought her total investment to the disputed amount.
