Lithuanian Court Halts Case Over "Achemos grupė" Share Acquisition

Lithuania's Court of Appeal has concluded a legal dispute over the acquisition of a controlling stake in the strategic company "Achemos grupė." The case, initiated by former concern president Arūnas Laurinaitis, challenged the right to purchase nearly 303 million euros worth of shares.

Laurinaitis had claimed his pre-emptive rights were disregarded when the main shareholders, Lida Lubienė and Viktorija Lubytė, planned to sell the group to the Hungarian energy company "MET Group" in May 2024. He alleged that after an initial offer was made to the foreign company, the shareholders refused to communicate with existing shareholders.

However, "MET Group" later terminated the deal, citing unresolved shareholder disputes within "Achemos grupė." Subsequently, Laurinaitis withdrew his lawsuit regarding the pre-emptive rights. In response, the Court of Appeal terminated the civil case on May 21, a decision that can still be appealed to the Supreme Court within three months.

In addition to terminating the case, the appellate court fined Arūnas Laurinaitis 2,500 euros for abuse of process. He is also required to cover 14,500 euros in legal costs for "Achemos grupė" from the first instance court, plus an additional 1,350 euros for the appellate court proceedings. The main shareholders, L. Lubienė and V. Lubytė, will also be reimbursed 647.3 euros each for their legal expenses by Laurinaitis.
