S-Pankki Offers Nearly 600 Million Euros for Oma Säästöpankki

S-Pankki, a major Finnish financial institution, has launched a significant takeover bid for Oma Säästöpankki, a publicly listed savings bank. The offer amounts to nearly 600 million euros, signaling a major consolidation move within the Finnish banking sector.

The proposed acquisition price is set at 17.20 euros per share in cash. This represents a substantial premium of approximately 47% compared to Oma Säästöpankki's closing share price on Wednesday. Based on this offer, Oma Säästöpankki's total valuation would be around 571.4 million euros.

Oma Säästöpankki's board of directors has reviewed the offer and is recommending that its shareholders accept it. Crucially, several key savings foundations – those in Etelä-Karjala, Parkano, Lieto, Töysä, and Kuortane – have already pledged to tender their shares. These foundations collectively own nearly 60% of Oma Säästöpankki, making the deal highly likely to succeed.

If the acquisition proceeds as planned, S-Pankki intends to delist Oma Säästöpankki's shares from the Helsinki Stock Exchange. The transaction is expected to be completed in the fourth quarter of the current year, pending regulatory approvals and shareholder acceptance.
