Taiwan Ministry Unveils Fairer Contract Template for Food Delivery Platforms

Taiwan's Ministry of Economic Affairs has introduced a standardized contract template for food delivery platforms, designed to create a more equitable partnership between platforms and local businesses. The move aims to address long-standing issues regarding the allocation of risks and responsibilities within the rapidly growing delivery sector.

The template clearly stipulates that platform operators should be responsible for information disclosure, order matching, and dispute resolution, and cannot improperly transfer risks to partner merchants.

The new template, established under the "Regulations for the Protection of Delivery Worker Rights and Management of Delivery Platforms Act," clearly defines the rights and obligations of both platform operators and their partner merchants. Key provisions include requirements for platforms to be responsible for information disclosure, order matching, and dispute resolution. Crucially, it prohibits platforms from unfairly transferring risks to merchants, ensuring that merchants are not solely liable for issues like order errors, losses, or delivery defects that are not their fault.

Service fees are an important transaction condition of the cooperation contract. Therefore, the contract specifies the service items, amounts or proportions, and regulates the calculation basis of commission and the procedure for fee adjustment, to avoid platform operators unilaterally changing fees, causing partner merchants to have no way to respond.

Regarding financial terms, the template mandates that platforms must clearly disclose all fee structures, including calculation methods and applicable conditions. It also specifies procedures for contract modifications, ensuring merchants have adequate information and protection throughout the contractual process. While the template standardizes fee disclosures and outlines procedures for adjustments, it deliberately avoids setting a cap on commission rates. The ministry cited the diverse nature of merchant types and market conditions as reasons why a single standard would be impractical and could distort existing market prices.

The contract template also requires platform operators to establish a reasonable dispute resolution mechanism and to specify the resolution process and methods in the contract, to ensure that partner merchants clearly understand the resolution process and that both parties have something to follow when disputes arise.

The Ministry of Economic Affairs emphasized that the contract template is intended to foster a fairer and more transparent cooperative relationship. By preventing merchants from bearing excessive or unreasonable burdens, the initiative seeks to protect their rights and promote the sustainable development of the food delivery market. The ministry also requires platforms to establish reasonable dispute resolution mechanisms and ensure the secure collection and use of transaction data in compliance with relevant laws.
