Paramount Skydance Seeks Trial to Advance Warner Merger Amid Antitrust Lawsuits

Skydance Media is pushing for a trial to unfreeze its proposed merger with Warner Bros. Discovery, aiming to bypass a temporary restraining order. The media conglomerate filed a request for an evidentiary hearing, seeking a three-day session in late August. Skydance argues that the lawsuit filed by twelve states, which accuses the deal of creating a monopoly, is an "extraordinary and drastic measure" that denies the company a fair hearing. A federal judge in California had previously issued a temporary order blocking the $110 billion transaction for at least fourteen days, scheduling a hearing for August 3. The states, led by California and New York, contend that the merger would eliminate competition in Hollywood and violate federal law. They estimate the combined entity would control nearly 27% of the film distribution market and over 30% of the blockbuster segment. Adding to the opposition, the Writers Guild of America also filed a preliminary injunction request, warning of massive job losses and reduced opportunities for screenwriters. The European Commission has already approved the merger, contingent on Skydance implementing measures to address competition concerns in film distribution within the European Economic Area.
