US court temporarily halts Paramount-Warner Bros. Discovery merger

A U.S. judge has temporarily blocked the proposed $110 billion merger between Paramount and Warner Bros. Discovery, responding to a lawsuit filed by a coalition of 12 states. The states argue the merger would eliminate competition in Hollywood and violate federal law.

Judge Araceli Martínez-Olguín of the Northern District of California issued a temporary restraining order, preventing Paramount from closing the transaction for at least 14 days. A hearing is scheduled for August 3 to hear arguments from both sides.

The lawsuit, led by California and New York, contends that the merger would "eliminate competition" and violate a 1914 federal law prohibiting mergers that substantially reduce competition. The resulting company would control nearly 27% of the film distribution market and over 30% of major box office releases, according to the complaint.

California Attorney General Rob Bonta called the merger "illegal," warning it would lead to higher prices, lower quality, and less content for consumers. The Writers Guild of America (WGA) also joined the lawsuit, fearing massive job losses and cost-cutting measures due to reduced competition.

This ruling contrasts with the U.S. Department of Justice's approval of the deal in June, which concluded the transaction would not harm competition in television, streaming, or content production markets. The DOJ even suggested the merger could increase competition by strengthening the combined company's ability to compete with dominant streaming players.
